Scope of applicability of the general conditions

These general conditions of use (hereinafter also "Conditions of Use" or "Agreement") shall govern all services provided by Angelini Pharma S.p.A., a company under the direction and coordination of Angelini Holding S.p.A., with registered office in Viale Amelia, 70 - 00181 Rome, VAT number 01258691003, Rome Register of Companies Number 03907010585, Share Capital euro 165,000,000.00 (hereinafter "Company"), in the digital area reserved for health care professionals belonging to the medical class (hereinafter "Users"), accessible through a link on the website
"www.brightsideofthemood.com" (hereinafter "Platform" ).

If necessary, the Company may supplement the Conditions of Use or derogate from them through special conditions that will be proposed to the User when requesting certain services and/or the use of certain content (hereinafter "Special Conditions"). In this case, in the event of a conflict between the Conditions of Use and the Special Conditions, the latter will prevail over the former. It should also be noted that when requesting further services and/or the use of further content, these Conditions of Use may again be subject to the User's approval; in this case, they shall be deemed effective from the date of the first subscription.

These Conditions of Use and/or any applicable Special Condition may be amended at any time. In this case, the User will be notified using the e-mail address and/or cell phone number provided by the User.

Service registration

In order to access the contents and/or use the services contained and offered in the Platform, it is necessary to be qualified as a health care professional belonging to the medical class.

When registering in the Platform, the User must fill in the appropriate authentication form, entering the username and the password previously received with the invitation mail.

The successful outcome of the registration procedure presupposes that the User:
– enter the username and the password received in the invitation in the appropriate field.
– has declared that he/she has read the information on the processing of his/her personal data and accepted the Conditions of Use contained in this document, by affixing a "flag" in the dedicated checkbox.

Upon the successfully conclusion of the registration registration, the User will receive an e-mail confirming the activation of an account.

The correctly registered User will be allowed to cancel his/her account at any time by sending an e-mail to the e-mail address "privacy.italia@angelinipharma.com".

Login credentials

Once the User has successfully logged in for the first time, he/she will be asked to change his/her password, choosing a password with sufficient and necessary security requirements as required by law. This new password, combined with the User's username, will allow the User to access all the Platform and to use the services contained therein.

The User, therefore, undertakes to keep these credentials and to immediately report to

any loss of exclusive control over them, noting that, in the absence of such report and until it is received, the User will be responsible for any action and conduct carried out using these credentials and may not in any way contest the use of the services or access to content related to the use of these credentials.

The User will be granted the possibility to modify his/her access credentials to the Platform at any time. On the other hand, the personal data entered during registration and necessary to identify the User as a health care professional belonging to the medical class remain unchanged: name, surname, etc

Rights of Proprietary Rights

The Company and possibly other third party companies are the owners of all intellectual property rights on the contents (e.g. texts, images, videos, etc.) made available to Users, it being understood that the Company itself becomes the owner of a free and indefinite economic use license on all the contents published by the User through the Platform and/or the services governed by the Agreement, unless otherwise provided for in the Special Conditions.

The User is expressly forbidden to reproduce, copy, publish or commercially exploit such content which may only be used as an end user and for personal purposes.

The User is not granted any right of economic exploitation of the material and content in the Platform, neither with reference to trademarks, patents, technologies, products, processes, nor any other intellectual property rights of the Company or of third parties referred to on the Platform.

Conditions of use of the services and responsibility for the contents

Although the Company periodically checks and controls the material in the Platform, it does not assume any responsibility in relation to the contents and information contained therein. Should specific sections of the Platform allow the interaction of Users, it is expressly forbidden to send defamatory, obscene, slanderous or otherwise contrary to any applicable legal provision. The Company will cooperate with the authorities by promptly complying with the measures aimed at identifying those who commit illegal acts in sending and sharing material.

The Company therefore does not assume any kind of responsibility with reference to the use of the Platform and its content. In particular, the Company shall not be liable for defects in the accuracy, updating, completeness, adequacy, timeliness of the information contained in the Platform nor for any damage or viruses that may affect the computer equipment or other property of the User as a result of accessing, using or browsing the Platform or downloading materials, data, text, images, video or audio from the Platform. The Company reserves the right to interrupt or suspend the functionalities of the Platform at any time without any liability on its part, whether as a result of the actions or omissions of the Company or of third parties.

The information in the Platform may contain technical or typographical errors. The Company reserves the right to make changes, corrections and improvements to the aforesaid information, products and programs described therein at any time and without prior notice.

User's responsibility for published content and use of the services

If the User, through certain services, can proceed with the publication, dissemination or communication of content into the Platform, the User undertakes to publish, disseminate or communicate exclusively contents in compliance with the law and/or any third party rights.

In this case, moreover, the User declares and guarantees to have all the rights necessary for the publication of the contents (texts, images, photographs and/or portraits, films, audiovisual material) referred to in point 6.1 above, having previously obtained, where necessary, all the consents and authorizations provided for by the regulations in force, with particular - but not exclusive - reference to the law on copyright and privacy.

The User undertakes from now on to indemnify and hold harmless the Company from any request, including compensation, proposal and/or deriving, directly or indirectly, from the User's use of the services and/or the publication of any content. For the purposes of this indemnity, the User shall be deemed to be responsible for any conduct carried out using the credentials attributed to him/her, unless the loss of such credentials is communicated to the Company prior to the said conduct.

It is understood that the Company reserves the right to remove at any time any content published by the User through the services in response to a claim of violation of third party rights or in any case at its sole discretion.

Services offered

The services governed by the Conditions of Use consist in the provision of a training event for Users, which will be held remotely, with digital live streaming.

In the Platform there are also links to other third-party websites deemed of interest to the visitor. With the link to such websites, the User leaves the Platform and any website registered in the name of Angelini Pharma S.p.A. for free choice and without any constraint. The information contained may not be in line with the provisions of Italian law and in particular with those of Legislative Decree 219/2006 which regulates the advertising of medicinal products for human use and are in any case completely independent and outside the control of the Company, which does not assume any responsibility in this regard.

Final provisions

Should the Company find a violation of these Conditions of Use, it reserves the right to take any corrective action without prior notice, including the exclusion of the User from access to the Platform and its services and the removal of any material posted on the Platform by the User, without assuming any responsibility in this regard.

The Company reserves the right to arbitrarily and unilaterally suspend and/or interrupt each User's access to the Restricted Area, removing the User's account without any communication obligation.

The Company reserves the right to revise these Conditions of Use through periodic updates. Since such revisions are binding on the Platform visitor, the latter is invited to periodically consult this page to become aware of such updates.

- The User, therefore, undertakes to keep these credentials and to immediately report to info@brightsideofthemood.com any loss of exclusive control over them, noting that, in the absence of such report and until it is received, the User will be responsible for any action and conduct carried out using these credentials and may not in any way contest the use of the services or access to content related to the use of these credentials.

- The services governed by the Conditions of Use consist in the provision of a training event for Users, which will be held remotely, with digital live streaming.

With the link to such websites, the User leaves the Platform and any website registered in the name of Angelini Pharma S.p.A. for free choice and without any constraint.
